Last Updated: June 2026 These Terms of Service (these “Terms”) govern your access to and use of the website-hosted user interface located at archer.exchange (the “Interface”), operated by or on behalf of Ballista Technologies LLC (“Company,” “we,” “us,” or “our”). The Interface and any content, tools, and documentation offered on or through it are collectively the “Services.” Please read these Terms carefully. By accessing or using the Services, you agree to be bound by them. If you do not agree, do not use the Services. If you use the Services on behalf of an entity, you represent that you have authority to bind that entity, and “you” refers to both you and that entity. Section 7 contains an arbitration clause and class action waiver. By agreeing to these Terms, you waive your right to a jury trial and your right to participate in class actions. You have the right to opt out as described in Section 7.4.

1. How the System Works

The Archer Protocol (the “Protocol”) is a set of smart contracts deployed on a public blockchain that facilitate onchain order matching and settlement, including the asynchronous execution of swaps against available liquidity. Order matching and settlement are performed by those smart contracts. All matching logic and settlement occur onchain and are publicly verifiable by anyone. Order matching and transaction execution occur pursuant to the Protocol’s smart-contract logic. The Company does not manually select counterparties, manually match orders, or intervene in the execution of transactions that have been submitted to the applicable blockchain network. This Interface is a web application that reads onchain state and constructs transaction messages that users sign and submit to the blockchain via their own wallets. The Interface is one way to interact with the Protocol. It is not the only way. Users may also interact with the Protocol by:
  • Calling the smart contracts directly onchain, without any frontend;
  • Using third-party open-source clients that have integrated the Protocol;
  • Building and running their own frontend using the Protocol’s publicly available code.
The Protocol is also accessible through third-party aggregators that integrate it directly and independently of this Interface. Those aggregators are not affiliated with or controlled by the Company. The Company does not control, endorse, or take responsibility for any third-party aggregator or the experience it provides. The Company does not have the ability to pause, modify, or reverse transactions that have been submitted to the blockchain. Once a transaction is confirmed onchain, it is final. The Protocol is implemented through smart contracts deployed on public, open, and permissionless blockchain networks. The Company may possess or participate in administrative, governance, upgrade, security, or maintenance rights relating to certain Protocol components. Such rights may be used to implement bug fixes, security updates, feature enhancements, protocol upgrades, or other operational improvements. The existence of such rights does not permit the Company to take custody of user assets, control user wallets, alter user balances, or modify the execution of transactions that have been submitted to the applicable blockchain network in accordance with the operation of the Protocol’s smart-contract logic. The Company does not control all activity occurring on the Protocol and does not control blockchain networks, validators, independent interfaces, aggregators, third-party software, or user-controlled wallets. The Company does not take possession, custody, or control of user assets and is not a counterparty to transactions executed through the Protocol. You acknowledge and agree that the Company makes no representations or warranties regarding the operation, availability, security, or performance of the Protocol or any underlying blockchain network. Your use of the Protocol is entirely at your own risk. The Protocol permits market creation through its smart-contract architecture and may contain assets created or made available by third parties without Company involvement. Any party — including token issuers, project teams, and individuals — may permissionlessly create markets or list any asset on the Protocol without the knowledge, approval, or involvement of the Company. Assets available through the Protocol may include, without limitation: fungible tokens, tokenized representations of real-world instruments, tokenized equities or debt, stablecoins, and other digital assets issued by third parties entirely unrelated to the Company. The Protocol is capable of supporting a wide variety of digital assets and is not designed exclusively for any particular asset class. The availability, display, accessibility, or trading of any asset through the Protocol or the Services does not constitute an endorsement, recommendation, solicitation, approval, representation, or warranty by the Company regarding such asset. The Company does not evaluate the suitability, legality, value, quality, investment merits, or regulatory status of any asset made available through the Protocol. Users are solely responsible for evaluating any asset and determining whether any transaction is appropriate for them. The Company does not screen, verify, approve, endorse, or take any responsibility for any asset listed on the Protocol or for any issuer of such assets. The presence of an asset on the Protocol or visible through this Interface does not constitute any representation or endorsement by the Company regarding that asset’s nature, value, legality, suitability, or the creditworthiness of any issuer. You are solely responsible for conducting your own due diligence on any asset before interacting with it, including understanding what the asset represents, who issued it, and whether interacting with it is lawful in your jurisdiction. The Company’s operation of the Interface, including any curation, filtering, or restriction of the assets or markets displayed through it as described in Section 2, does not alter the foregoing and does not constitute screening, verification, approval, or endorsement of the Protocol or of any asset available on it. The Company does not hold, control, or have access to any user assets at any time. No assets pass through any Company-controlled system. The Company is not a counterparty to any transaction. The Company does not receive, possess, custody, or control user assets and does not act as an agent, intermediary, broker, or fiduciary for users.

2. This Interface

archer.exchange is a single publicly accessible instance of a frontend to the Protocol. It is operated as a public good. It is not the exclusive or primary means of accessing the Protocol. The Company operates this Interface as a convenience. The Company reserves the right to modify, suspend, or discontinue the Interface, or any feature of it, at any time and without notice. Interface Curation and Asset Restrictions. The Interface is a curated frontend to the Protocol. The Company may, in its sole discretion and without notice, restrict, filter, delist, suspend, or decline to display or facilitate interaction with any asset, market, token, or instrument on or through the Interface, for any reason or for no reason. The Company may apply such restrictions selectively and may add to, remove from, or modify them at any time. Any such curation or restriction is an operational and risk-management measure that applies to this Interface only. It does not affect the Protocol, which continues to permit permissionless market creation and remains accessible directly onchain and through other clients as described in Section 1. Neither the Company’s restriction of, nor its decision not to restrict, any asset or market constitutes or shall be construed as: (a) due diligence, vetting, verification, or investigation of any asset, market, or issuer; (b) any endorsement, recommendation, approval, warranty, or representation by the Company regarding the nature, value, legality, suitability, or risk of any asset or market that remains displayed, or regarding the creditworthiness of any issuer; or (c) any assumption of responsibility or liability by the Company for any asset or market that remains available through the Interface. You remain solely responsible for conducting your own due diligence on any asset before interacting with it, whether or not it is displayed through the Interface. The Company may update these Terms at any time by posting a revised version. The revised Terms take effect upon posting. Your continued use of the Interface constitutes acceptance of the revised Terms. If you do not agree with any revision, stop using the Interface. No amendment applies to a dispute for which arbitration has already been initiated. Because the Protocol operates independently of this Interface, discontinuation of this Interface does not affect the Protocol or your ability to access it through other means. This Interface implements geographic access restrictions as a precautionary operational measure. Certain jurisdictions are blocked from accessing this instance based on IP geolocation. These restrictions apply to this Interface only and do not affect the Protocol itself, which remains accessible directly onchain and through other clients. The list of restricted jurisdictions may be updated at any time without notice. The existence of these restrictions does not constitute a representation regarding the legal status of the Protocol or any asset in any jurisdiction. You remain solely responsible for your own compliance with applicable law regardless of whether a restriction is in place.

3. Wallets; Non-Custody

To use the Services you must connect a compatible third-party digital asset wallet (“Wallet”). Wallets are not associated with or controlled by the Company. The Company does not have possession, custody, or control over any digital assets at any time. You retain control over your digital assets at all times. The private keys necessary to access your Wallet are not held by the Company. The Company has no ability to help you access or recover private keys or seed phrases. You are solely responsible for the security of your Wallet and for all transactions signed with your private keys. We make no representations regarding how the Services will operate with any specific Wallet.

4. Who May Use the Services

You must be at least 18 years of age and not be a Prohibited Person to use the Services. A “Prohibited Person” is any person or entity that: (a) is located in, incorporated in, organised in, established in, or a resident or citizen of the United States of America; (b) is located in, incorporated in, organised in, established in, or a resident or citizen of any jurisdiction or territory that is subject to comprehensive economic sanctions, embargoes, export controls, or similar restrictions imposed by the United States, the United Kingdom, the European Union, the United Nations, or any other applicable governmental authority; (c) is designated on, owned or controlled by a person or entity designated on, or otherwise subject to restrictions under any sanctions or restricted-party list administered by any governmental authority, including OFAC’s Specially Designated Nationals List, the U.S. Department of Commerce Denied Persons List or Entity List, the EU Consolidated List, or the UK Consolidated List of Financial Sanctions Targets; or (d) is otherwise prohibited from accessing or using the Services under applicable law. By accessing the Interface, you represent and warrant that you are not a Prohibited Person and that your access to and use of the Services complies with all laws applicable to you. You are solely responsible for making that determination. You agree not to use VPNs, proxies, Tor, routing services, location-masking tools, or any other technical means to circumvent geographic, jurisdictional, asset-level, market-level, legal, or regulatory restrictions implemented through the Services. Any attempt to do so constitutes a material breach of these Terms.

5. Your Use of the Services

You agree not to use the Services in any way that violates any applicable law or regulation. You further agree not to:
  • Interfere with or attempt to compromise the integrity or security of the Services or the Protocol;

All transactions you submit to the Protocol are unsolicited and solely initiated by you. You are solely responsible for the accuracy of all transaction details before signing. You are solely responsible for all taxes arising from your use of the Services. Gas fees are paid to network validators and are not collected by the Company. The Company is not responsible for failed transactions or gas fees incurred in connection with them.

6. Disclaimers; Limitation of Liability; Indemnification

The Protocol is provided “as is” and at your own risk. The Company does not own or control the Protocol. The Company does not hold, control, or have access to any user assets at any time. No assets pass through any Company-controlled system. The Company is not a counterparty to any transaction. No developer or entity involved in creating the Protocol will be liable for any claims or damages associated with your use of the Protocol, including any direct, indirect, incidental, special, exemplary, punitive, or consequential damages, or loss of profits, tokens, or anything else of value. TO THE FULLEST EXTENT PERMITTED BY LAW, UNDER NO CIRCUMSTANCES SHALL THE COMPANY OR ANY OF ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, OR REPRESENTATIVES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF GOODWILL, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITIES, OR LOSS OF DIGITAL ASSETS, ARISING OUT OF OR RELATING TO THE SERVICES, THE PROTOCOL, OR THESE TERMS. THE COMPANY ASSUMES NO LIABILITY OR RESPONSIBILITY FOR: (A) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT; (B) PERSONAL INJURY OR PROPERTY DAMAGE ARISING FROM USE OF THE SERVICES; (C) UNAUTHORIZED ACCESS TO OR USE OF ANY SYSTEMS, DATA, OR INFORMATION; (D) INTERRUPTION OR CESSATION OF THE SERVICES; (E) BUGS, VIRUSES, MALICIOUS CODE, OR OTHER HARMFUL COMPONENTS; (F) ERRORS OR OMISSIONS IN ANY CONTENT; OR (G) THE ACTS OR OMISSIONS OF ANY THIRD PARTY. IN NO EVENT SHALL THE AGGREGATE LIABILITY OF THE COMPANY EXCEED ONE HUNDRED U.S. DOLLARS (US $100). If you are a California resident, you waive California Civil Code Section 1542. You agree to indemnify, defend, and hold harmless the Company and its affiliates, officers, directors, employees, and agents from and against all claims, damages, losses, and expenses (including attorneys’ fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms or any applicable law; or (c) your negligence or wilful misconduct.

7. Disputes

Mandatory arbitration and class action waiver: please read carefully. 7.1 Informal Resolution. Before initiating arbitration, you must contact [email protected] and attempt to resolve the dispute informally, allowing 30 days for good-faith response. This is a condition to initiating arbitration. 7.2 Arbitration. Any remaining dispute relating to the Services or the Protocol will be resolved by final and binding individual arbitration administered by JAMS under its Comprehensive Arbitration Rules, conducted in English by a sole arbitrator. The Federal Arbitration Act governs arbitrability. Class arbitrations and class actions are not permitted. Judgment may be entered in any court of competent jurisdiction. 7.3 Class Action Waiver. All disputes must be brought in your individual capacity only. Neither you nor the Company may bring or participate in any class, consolidated, or representative proceeding. If this waiver is found unenforceable, the agreement to arbitrate is void as to that proceeding. 7.4 Opt-Out. You may opt out of arbitration by written notice to [email protected] within 30 days of first agreeing to these Terms. Opting out does not affect the class action waiver. 7.5 Exceptions; Governing Law. Small claims, injunctive relief, and intellectual property disputes may be brought in court. These Terms are governed by the laws of the State of Delaware without regard to conflict-of-law principles. Any court proceedings shall be brought in the state or federal courts of Delaware, to whose jurisdiction you irrevocably submit. The Company makes no representation that the Services are appropriate or available in any particular jurisdiction.

8. General

These Terms and our Privacy Policy are the entire agreement between you and the Company regarding the Services. If any provision is found unenforceable, it shall be modified to the minimum extent necessary and the remainder continues in full force. The Company may assign these Terms freely. You may not assign without prior written consent. No waiver of any breach constitutes a waiver of any other breach. Sections 3, 5, 6, 7, and 8 survive termination of these Terms. Export. You agree not to export or re-export the Services to any embargoed jurisdiction or restricted party without required government approvals. Force Majeure. The Company is not liable for any failure or delay resulting from events beyond its reasonable control, including acts of God, war, government actions, internet outages, or blockchain-specific events such as consensus failures, chain reorganisations, or hard forks.
